We have the exact same issue. Our server has 8 CPUs and 32 Gig of ram and the server is at 0 % usage most of the time as this is a new server that we are planning to deploy on version 4.1 SP2.
Our Client Tools, which are on the exact same release level as the Server (SP02), refuse to connect to the new server's CMS. We get the following errors.
